Terms & Conditions

These Terms & Conditions ("Terms") apply to your use of www.vnforgelabs.com and to all services provided by VNForge Labs ("we", "us", "our"). By using our website or engaging our services, you ("you" or the "Client") agree to these Terms.

If a signed proposal, quotation or agreement between you and VNForge Labs says something different, that document takes priority for the matters it covers.

• You may browse our website and use its content for personal or business information only.
• You must not copy, republish or sell our content, designs or code without written permission.
• You must not attempt to hack, overload or disrupt the website, or submit spam or false information through our forms.
• Prices, timelines and descriptions on our website are for general guidance and may change. They are not an offer until confirmed in a written quotation.

We provide website design and development, web applications, mobile apps, UI/UX design, AI and automation solutions, white label development and ongoing maintenance and support. The exact work for each project — the "Scope" — is described in the proposal or quotation you accept.

Any work outside the agreed Scope is treated as a change request and will be quoted separately before we begin.

• Quotations are valid for 30 days from the date of issue unless stated otherwise.
• Unless agreed otherwise, fixed-price projects are billed in milestones: 40% to start, 40% on design and build approval and 20% before launch.
• Monthly plans (maintenance, care plans and dedicated developers) are billed in advance at the start of each month.
• Invoices are payable within 7 days. Prices exclude applicable taxes such as GST, which will be added where required.
• We may pause work if a payment is overdue and resume once it is cleared. Timelines will move accordingly.
• Third-party costs (domains, hosting, premium plugins, app store fees, paid APIs) are paid by the Client unless included in the quotation.

• Provide content, images, logins, feedback and approvals on time. Delays on your side may extend the project timeline.
• Make sure that all content and materials you supply are owned by you or properly licensed, and do not break any law.
• Review and test the work during agreed review stages and report issues promptly.
• Keep your account passwords and admin access secure after handover.

Each project includes the number of revision rounds stated in your proposal. Once you approve a design or a stage of development, further changes to that approved work may be charged as additional work. Approval by email or message is treated as written approval.

• On receipt of full and final payment, ownership of the custom code, designs and deliverables created for your project transfers to you.
• Third-party software, plugins, fonts, stock images and open-source components remain subject to their own licences.
• We retain ownership of our general tools, methods, know-how and reusable code libraries, and grant you a permanent licence to use them as part of your project.
• Unless you ask us not to (or the project is a white label project), we may mention your organisation's name and logo and show the work in our portfolio.

We treat all information you share with us about your business, customers and project as confidential and use it only to deliver our services. We are happy to sign a separate Non-Disclosure Agreement (NDA) on request. For white label projects, we do not contact your clients or use the work in our portfolio without your written permission.

• After launch, we fix bugs in the delivered work free of charge during the support period stated in your plan or proposal.
• This free support does not cover new features, content updates, issues caused by changes made by you or other parties, third-party plugin or hosting problems, or changes to external services.
• Ongoing updates, security, backups and changes are available through our maintenance plans.

Our work may rely on services provided by others, such as hosting companies, payment gateways, app stores, Google and AI model providers. We are not responsible for their availability, pricing changes, policy changes or outages, although we will help you resolve any issues that arise.

We take great care with every project, but to the maximum extent permitted by law:

• Our total liability for any claim relating to a project is limited to the amount you paid us for that project (or, for monthly plans, the fees paid in the previous three months).
• We are not liable for indirect or consequential losses such as loss of profit, revenue, data or business opportunity.
• We do not guarantee specific search engine rankings, traffic or sales results, as these depend on many factors outside our control.

• Either party may end a project with written notice if the other seriously breaches these Terms and does not fix the issue within 14 days.
• If a project is cancelled, you pay for all work completed up to the cancellation date. Payments already made for completed milestones are non-refundable.
• Monthly plans can be cancelled with 30 days' written notice.
• On termination, we hand over all completed work that has been paid for.

These Terms are governed by the laws of India. We will always try to resolve any disagreement through friendly discussion first. If a dispute cannot be resolved within 30 days, it will be subject to the exclusive jurisdiction of the competent courts in India.

We may update these Terms from time to time. The latest version will always be available on this page. Changes do not affect projects already agreed in a signed proposal.
